Sexual Violence Center Board of Directors

The Board of Directors are responsible for governing the internal affairs and properties of the organization, oversight of the organization’s policies, and keeping the long-term best interest of the organization at the forefront in order to fulfill its goals and mission.

Board Responsibilities

The Sexual Violence Center Board of Directors is a working board with a hands-on role in some of the administrative functions of the organization such as public relations, marketing, and oversight. These responsibilities are separate and distinct from the day-to-day management of the Sexual Violence Center.

Six disciplines of governance guide the Board of Directors’ work:

  • Directing
  • Protecting
  • Long-term strategy and planning
  • Assessing organizational needs from multiple perspectives
  • Prioritizing time for reflection, discussion, development, & strategy revision
  • Maintaining the discipline necessary for staying the course and doing what is right even when uncomfortable

In carrying out these responsibilities of governance, the Board also has the following responsibilities:

Planning Responsibilities

  • Establish the Sexual Violence Center’s mission and purpose, periodically re-assessing to ensure that the organization is adhering to its stated mission and purpose and making modifications when deemed appropriate.
  • Monitor and assess strategic planning goal attainment on an annual basis; reviewing the strategic plan annually.
  • Execute the Sexual Violence Center’s strategic planning process, setting the strategic direction and tracking progress based on pre-determined metrics with the support and participation of SVC’s executive team.
  • Ensure that the Sexual Violence Center uses effective financial strategies.Ensure protection of the Sexual Violence Center’s assets and provide financial oversight:
    • Review and approve the Sexual Violence Center’s annual budget
    • Ensure adherence to all financial policiesEnsure annual audits are conducted
    • Require transparency in financial practices
    • Oversight of Board-designated committees
  • Ensure legal and ethical integrity of the Sexual Violence Center, its policies, practices, and operations, ensuring compliance, transparency, and accountability.
  • Enhance the Sexual Violence Center’s public image and standing, serving as ambassadors for the Sexual Violence Center.

Organizational Responsibilities

  • Ensure a succession plan for the Executive Director.
  • Cultivate a slate of candidates to fill board vacancies as needed.
  • Annually approve the performance review of the Executive Directorand establish compensation.
  • Review the performance of the board annually and take steps to improve its performance.

Operations Responsibilities

  • Review the results achieved by management as compared with the organization’s philosophy, annual and long-range goals, and the performance of similar organizations.
  • Be certain that the financial structure of the organization is adequate for its current needs and its long-range strategy.
  • Ask thought-provoking questions, provide candid and constructive criticism, advice, and comments.

Audit Responsibilities

  • Ensure the board and its committees are adequately and currently informed, through reports and other methods, of the condition of the organization and its operations.
  • Verify that published reports accurately reflect the operating results and financial condition of the organization.

SVC currently has openings on its Board of Directors and is seeking a diverse and enthusiastic group of candidates. We are particularly interested in new members with marketing, finance, technology, non-profit management, or fundraising experience, as well as experience with social justice issues and sexual violence. Because we are a small and active Board, the most important quality of any Board member is a commitment to SVC’s mission, and a willingness to energetically engage and support the organization.
